This Indenture made the Eighth day of April in the year of our Lord one Thousand Eight hundred and Seventeen Between Turpin H. Arnold of the Town of Newport in the County of Herkimer and State of New York of the first part, and William H. Gordon Sheffield Kinyon Gordon Bradley Clark Smith and Ralph Waterman all of said County of the second part - Whereas the five equal undivided parts of the premises herein after mentioned and described, the whole into six equal parts to be divided, have by me the said Turpin H. Arnold this day been purchased for the use and benefit of the said parties of the second part, their heirs and assigns in fee simple absolute and five equal parts the whole into Six Equal parts to be divided of the consideration to be given for the whole of the said premises have by me this day been paid by and with the money of the said parties of the second part, the remaining Sixth part having been paid by me and with my money and for my own use and benefit; And whereas the whole of the said premises have been this day by deed under the hand and Seal of John Mahon Esquire & Sheriff of said County on a sale thereof on and by virtue of two certain writs of Fieri Facias, conveyed to me the said Turpin H. Arnold my heirs and assigns in fee simple absolute as by the deed thereof by the said John made and delivered as aforesaid reference being thereunto had will more fully and at large appear which said conveyance was made upon the implied trust as aforesaid Now Therefore this Indenture Witnesseth, that the said Turpin H., Arnold the party of the first part, for the due and complete execution of the said trust and for and in consideration of the sum of one dollar to me in hand paid by the said parties of the second part, the receipt whereof is hereby confessed and acknowledged, has bargained sold remised and quit claimed, and by these presents does bargain sell remise release and quit claim unto the said parties of the second part in their actual possession now being and to their heirs and assigns forever, The five equal undivided parts, the whole into Six equal parts to be divided of all that certain lot piece or parcel of land, situate lying and being in the town of Newport in said County and in that part of the said Town of Newport commonly called the village of Newport bounded as follows, beginning at a Stake Standing on the South Side of the highway, leading from Samuel Keiths Dwelling House to the bridge on the west Canada Creek running S. 65 degrees.30' W. 3.19 Chains to the middle of the ****** Canal that convey the water to the Cotton factory - thence down the middle of the same S.27 degrees.E. 1.46 Chains to a Stake and Stones, thence S 17 degrees.W. 1.60 Chains to a Stake and Stones - thence S. 69 degrees.E. 3.11 Chains to a Stake and Stones - thence S. 42 degrees.E. 1.17 Chains to a Stake and Stones, thence N. 71 degrees. E. 1.53 Chains to a Stake and Stones - thence N. 44 degrees. W. 2.40 Chains to a Stake and Stones - thence N. 71 degrees.30' E. 0.38 Chains to a Stake and Stone - thence North 18 degrees. W. 4.00 Chains to the place of beginning, Together with all and singular the tenements hereditaments and appurtenances thereunto belonging or in any wise appertaining together with the water privileges Calculated to drive one thousand Spindles in Water Frames and the necessary apparatus with the Machine Shop as is more particularly Specified in the Schedule annexed to the articles of association of the Cotton Newport Cotton Manufacturing Company, or association so called Mention whereof is made in the deed of the said John Mahon to the said Turpin H. Arnold aforesaid mentioned and the deed heretofore made and delivered by Benjamin Bowen and Ruth his wife to the said association or company as by reference to the said deed & will more fully and at large appear - Excepting and always reserving from this deed a certain lot of land with the buildings thereon this day conveyed by deed, by the said John Mahon to Ephraim Bowen and another piece or lot of land this day conveyed by deed by the said John Mahon to Ezra Pierce with the store thereon as by reference to the two last mentioned deeds will more fully appear and is the same exception made in the deed first aforesaid of the said John Mahon to the said Turpin H. Arnold Together with all and singular the hereditaments and appurtenances thereunto belonging or in any wise appertaining, and the reversion and reversions, remainder and remainders Rents, Issues, and profits thereof, and all the Estate, right title Interest Claim and demand whatever, of the said party of the first part, Either in Law or Equity, of in and to the above bargained premises, with the said privileges Water Courses Canal hereditaments and appurtenances. To have and to hold the said lands tenements and premises the said five equal undivided parts thereof the whole into Six Equal parts to be divided as the same are above described Except as a foresaid excepted and reserved, unto them the said parties of the second part their heirs and assigns forever, the said five Equal undivided parts thereof, the whole into Six equal parts to be divided, to the sole and only proper use benefit and behoof of the said parties of the second part their heirs and assigns forever - In Witness whereof the parties to these presents have hereunto interchangeably Set their hands and seals the day and year first above written

State of New York Herkimer County ss: Be it remembered that on the 15th day of April 1817 Before me David Holt a Judge of Herkimer Common pleas came all the within named and described parties the said Turpin, Clark, Sheffield, Ralph & Gordon being to me known & the said William being made known to me upon the oath of Samuel Stevens to me known, who being duly sworn saith that his acquainted with the said William and know him to be the person described in said deed which is to me satisfactory evidence of the same and the said Turpin Clark, William, Sheffield, Ralph and Gordon, each acknowledged before me that he signed Sealed and delivered the within Instrument, for the uses and purposes therein mentioned - All which I hereby certify agreeably to the statute in such case made and provided.
